DR Horton Inc. announced that in connection with the expiration of the section 382 rights agreement, dated as of August 19, 2009, between the company and American Stock Transfer & Trust Company, LLC, as rights agent, the company filed a certificate of elimination of series A junior participating preferred stock of the company with the Secretary of State of the State of Delaware on August 20, 2010. The filing of the certificate of elimination has the effect of eliminating from the companys amended and restated certificate of incorporation, as amended, all matters set forth in the certificate of designation, preferences, and rights of series A junior participating preferred stock of the company governing the series A junior participating preferred stock of the company, which was filed with the Delaware Secretary of State on August 19, 2009.
DR Horton Inc. reported unaudited consolidated earnings results for the third quarter and nine months ended June 30, 2010. For the quarter, the company's total revenue was $1,378.3 million against $914.1 million a year ago. Operating income from Homebuilding was $37.4 million against operating loss from Homebuilding of $166.2 million a year ago. Operating income from financial services was $8.9 million against $2.8 million a year ago. Income before income taxes was $46.3 million against loss before income taxes of $163.4 million a year ago. Net income was $50.5 million or $0.16 diluted per share against net loss of $143.8 million or $0.45 diluted per share a year ago. Operating income from financial services was $16.6 million against operating loss from financial services of $12.6 million a year ago. Income before income taxes was $101.2 million against loss before income taxes of $327.7 million a year ago. Net income was $253.9 million or $0.78 diluted per share against net loss of $314.9 million or $0.99 diluted per share a year ago. Net cash provided by operating activities was $587.1 million. Purchases of property and equipment were $15.6 million. The company has declared a quarterly cash dividend of $0.0375 per share. The dividend is payable on August 26, 2010 to stockholders of record on August 16, 2010.
